A Pivotal Moment for TAP Air Portugal

In the summer of 2025, the Portuguese government reignited its efforts to privatize the national airline, TAP Air Portugal. The goal is to sell 44.9% of the company’s shares within the next year. While previous attempts at privatization have not been successful, this time feels different, especially with two major airline groups expressing interest in investing in TAP.

The Privatization Plan and Employee Benefits

As part of this initiative, the government aims to allocate 5% of shares to employees, while retaining a controlling stake of 50.1%. Prime Minister Luis Montenegro believes that many partners will be keen on this deal. However, it's worth noting that this isn’t the first time TAP's privatization has been on the table, and the final outcome remains uncertain.

Challenges in the Privatization Process

The latest attempt at privatization was stalled in early 2025 when the center-right coalition government lost the elections. Nevertheless, after the May 2025 elections, this coalition returned to power, albeit without a parliamentary majority, which poses challenges for the sale of TAP.

TAP's Business Performance Over the Years

TAP has not been a highly profitable airline in the past. In 2021, the airline reported a record loss of 1.6 billion euros due to the impact of the COVID-19 pandemic. The government subsequently injected 3.2 billion euros to restructure the company. While TAP has turned a profit in recent years, the figures remain modest, with profits recorded at 65.6 million euros, 177.3 million euros, and 53.7 million euros over the last three years.

Interest from Major Airline Groups

Although TAP is not a highly lucrative airline, it possesses significant potential with a robust flight network to Brazil, Africa, and the United States. This strategic value attracts interest from several other airlines. Major groups like Air France-KLM and Lufthansa have expressed interest in TAP, drawn by the airline's strength in Brazil and its service network in Africa.

Opportunities for Collaboration and Competition

However, how North American airlines might complement TAP remains a big question. Miguel Pinto Luz, the Minister of Transport, has affirmed their confidence in completing the privatization within a year. Even airlines outside the European Union may show interest.

Investor Actions

To prepare for the sale, potential investors need to be approved. Air France-KLM and Lufthansa have submitted non-binding proposals, while IAG has opted out of this round of privatization to focus on other growth opportunities.

The Road Ahead for TAP

Ben Smith, CEO of Air France-KLM, emphasized the importance of what TAP has built over its 81-year history, including its operational hub in Lisbon and strong brand identity. They envision that TAP’s future should evolve within the framework of Air France-KLM, while also aiming to bolster operations in Lisbon and enhance connections in Porto.

A Decision Time Approaches

The Parpublica agency will have 30 days to prepare a report on each proposal and subsequently select the most suitable non-binding offers. Chosen investors will then have 90 days to submit binding proposals. This will be a decisive moment for the future of TAP Air Portugal.

What Lies Ahead for TAP?

The Portuguese government is once again exploring the opportunity to privatize TAP Air Portugal, with plans to sell 44.9% of shares and potentially relinquish majority control in the future. These serious efforts could reshape the airline's landscape. With interest from major groups, it will be intriguing to see what happens next.
